This Acceptable Use Policy (“AUP”) governs your use of the Offmkt platform (“Platform”). It is incorporated into and forms part of our Terms of Service. By using the Platform, you agree to follow this AUP.

01Purpose

The Platform exists to connect vetted real estate professionals around off-market opportunities. This AUP describes how Members are expected to behave, what content is appropriate, and what activities are strictly prohibited.

02Confidentiality of Off-Market Information

The single most important rule on the Platform is this: off-market means off-market. By accessing the Platform, you agree:

• Not to publicly market, advertise, or list any property you discover through the Platform, except where the posting Member has expressly given permission;
• Not to share screenshots, exports, or copies of any Platform content with non-Members;
• Not to discuss specific listings or their details on public forums, social media, MLS, or other public channels;
• Not to use Platform information to circumvent the originating Member and contact the property owner directly;
• To treat all Platform content as confidential and proprietary to the originating Member and to Offmkt.

Violations of this section are grounds for immediate termination and may result in legal action.

03Content Standards

When posting listings, profiles, photos, or messages, you must:

• Be accurate. Listings must reflect real properties available off-market. Do not post listings you do not have the right to share, or properties that are not actually available.
• Be lawful. All content must comply with applicable federal, state, and local laws, including fair housing laws, anti-discrimination laws, and any disclosure requirements imposed by your professional license.
• Be respectful. No harassment, hate speech, threats, or personal attacks against other Members or third parties.
• Be original. Do not post content that infringes on third-party intellectual property, privacy, or publicity rights.
• Be professional. Maintain a tone and conduct consistent with the standards of your professional license and the community of vetted Members.

04Fair Housing Compliance

Members are strictly prohibited from posting or communicating any content that:

• Indicates preference, limitation, or discrimination based on race, color, religion, sex, disability, familial status, national origin, sexual orientation, gender identity, or any other characteristic protected under the Fair Housing Act or applicable state and local fair housing laws;
• Steers or suggests steering of clients based on protected characteristics;
• Uses language, code words, or imagery that signals such preference.

This applies to listings, descriptions, photographs, and communications between Members.

05Prohibited Activities

You may not (and may not authorize or assist others to):

• Use the Platform for any unlawful purpose;
• Scrape, crawl, harvest, or otherwise extract content via automated means;
• Reverse engineer, decompile, or attempt to extract source code;
• Interfere with the operation, security, or functionality of the Platform;
• Attempt to access accounts, content, or systems you are not authorized to access;
• Impersonate any person, entity, or affiliation, or misrepresent your professional credentials;
• Send spam, unsolicited marketing, or chain communications;
• Use the Platform to recruit Members or clients to competing services;
• Solicit any commission, referral fee, or compensation outside the express terms of your separate broker agreements with your clients (Offmkt does not facilitate or participate in any compensation arrangements);
• Engage in conduct that could harm the reputation or operation of the Platform.

06Reporting Violations

If you become aware of a violation of this AUP — including a fair housing violation, content infringement, or breach of confidentiality — please report it to hello@offmkt.us. Offmkt will investigate reports and take appropriate action, which may include warning, suspension, or termination of the violating account.

07Enforcement

Offmkt enforces this AUP at its sole discretion. Consequences for violations may include:

• A warning;
• Temporary suspension of Platform access;
• Permanent termination of your account, without refund;
• Legal action, including injunctive relief and damages;
• Reporting to professional licensing authorities or law enforcement, as appropriate.

08Changes to This Policy

We may update this AUP from time to time. Material changes will be communicated through the Platform or by email. Continued use after changes take effect constitutes acceptance.
